Paribus Private Equity Portfolio

Through the investment in the investment company Paribus Private Equity Portfolio GmbH & Co. geschlossene Investment-KG (Paribus Private Equity Portfolio), the investor acquires indirect interests in portfolio companies in accordance with the investment criteria agreed in the Terms and Conditions of Investment and the Articles of Association.

The Investment Company will acquire units in at least two target funds as planned. It is planned to make the first investment in the target fund Astorius Capital Select Teilfonds, Luxembourg. Further target funds have not yet been specified. In addition to the investment in the target fund Astorius Capital Select Teilfonds, an investment in another Astorius sub-fund with a similar structure is planned.

The target funds will each invest in portfolio funds in accordance with their investment strategy. The portfolio funds invest directly in portfolio companies in accordance with their respective investment strategy, generally with the investment objective of realising increases in value and thus profits through the subsequent sale of their share in the company.

The target funds and thus the portfolio funds and portfolio companies have not yet been finally determined at the time of the preparation of the sales prospectus. In this respect, it is a so-called blind pool.

The free liquidity generated by the Investment Company’s investment activities shall be paid out to the investors after completion of the investment phase, unless it is required as an adequate liquidity reserve to ensure the proper continuation of the Investment Company’s business or to meet payment obligations or to preserve the Investment Company’s assets.

Existing freely available liquidity of the Investment Company shall not be reinvested in target funds.

The amount of the disbursements may vary and disbursements may be suspended. Since the investments (target funds) have not yet been finally determined, it is not possible to forecast the respective dates and the amount of individual disbursements.

Target funds

In accordance with their investment strategy, the target funds must, from an economic point of view, be expected to spread their investments over approximately ten (Private Equity) company investments. The expected diversification can be achieved both through indirect investments via other private equity fund companies (portfolio funds) – also by way of secondary market transactions – and through direct investments in corporate investments.

At least 75 % of the invested capital will be invested in target funds that are in the process of raising capital at the time of the investment by the Investment Company (primary fund investments).

The Investment Company will make investments exclusively in target funds whose currency is denominated in Euro.

Investments may only be made in target funds whose team responsible for identifying, selecting and recommending investments has experience and relevant competence based on previous investment activities with Private Equity Management Companies.

Investments may only be made in target funds that are considered investment funds within the meaning of the InvStG or Capital Management Companies for tax purposes.

Target funds, each of which invests directly and indirectly in small to medium-sized companies with an annual turnover of between EUR 5 million and EUR 20 million in accordance with its investment strategy.

These economic activities are agriculture, forestry and fishing; manufacturing; electricity, gas, steam and air conditioning supply; water supply, sewerage, waste management and remediation activities; construction; wholesale and retail trade and repair of motor vehicles and motorcycles; transportation and storage; accommodation and food service activities; information and communication; financial and insurance activities; professional, scientific and technical activities; other business activities; education; human health and social work activities; arts, entertainment and recreation activities; other service activities.

However, the Investment Company shall invest at least 60 % of the invested capital only in target funds that, in accordance with their investment strategy, exclude investments in companies from disputable sectors.
